The French text prevails.
1. Purpose
These terms of sale ("Terms") govern every order placed on the Upapu website (the "Site") with Rachid AIT SELLAMET (EI) ("Upapu", "we"). They apply to consumers and professionals, subject to the provisions reserved for consumers and marked as such. Placing an order means accepting the version in force on the day of the order; that version is recalled on the invoice.
2. Seller
Rachid AIT SELLAMET (EI), Entrepreneur individuel (EI), sans capital social, Rue de Saillagouse, 31100 Toulouse. Registration: SIREN 878 086 628, SIRET 878 086 628 00012. Contact: contact@upapu.com.
3. Products
Upapu sells digital content: instruction kits for AI assistants, templates, procedures, examples and onboarding videos, delivered as downloadable files.
Each product page states what the product covers and does not cover, the intended audience, formats, languages, compatible software and tested version, observed setup time, any third-party costs, included support and the update policy. No access to a paid AI service is included: the customer uses their own accounts and bears their costs.
Products marked "demo" are not for sale.
4. Prices
Prices are shown in euros, inclusive of taxes, with the applicable VAT rate on each product page. The price due is the one displayed when the order is validated. Upapu may change prices at any time for future orders.
5. Ordering
Ordering requires an account with a confirmed email address. Before paying, the customer checks the summary, accepts these Terms and, if a consumer, gives the express consent described in section 8. The order is confirmed by email as soon as our provider confirms the payment.
Online sales of paid products are currently limited to customers residing in France: the country of residence is requested when ordering and appears on the invoice. Free products remain available whatever the country.
Upapu may refuse or cancel an order in case of obvious fraud, non-payment or an evident pricing error.
6. Payment
Payment is made by card through our payment provider; Upapu neither collects nor stores card data. An order is only considered paid once the provider confirms it. In case of failure or cancellation, nothing is charged.
7. Delivery
Files are made available immediately after payment confirmation, in the "My products" area of the customer account. Downloads are personal and logged. Updates to a version are available in the same place according to the update policy stated on the product page.
8. Right of withdrawal (consumers)
Consumers normally have fourteen days to withdraw. Under article L221-28, 13° of the French Consumer Code, this right can no longer be exercised for digital content supplied on an intangible medium whose performance began before the end of the period with the consumer's prior express consent and acknowledgement of the loss of the right of withdrawal.
This consent is collected during checkout through a dedicated, unticked checkbox. Its version and date are stored and recalled on the invoice. Without this consent, ordering is not possible.
9. Legal warranties
Digital content benefits from the legal warranty of conformity (articles L224-25-12 et seq. of the French Consumer Code) and the warranty against hidden defects. In case of non-conformity the customer may obtain conformity, or failing that a price reduction or termination, under the conditions set by law. These warranties are exercised via contact@upapu.com.
10. Refunds
Beyond legal warranties, Upapu may grant a full or partial refund at its discretion, in particular if a product becomes durably unavailable. A full refund ends access to the files of the order. Refunds are made to the original payment method within fourteen days.
11. Licence
The purchase grants a personal, non-exclusive, non-transferable licence to use the product for the customer's own needs, including internal professional use. Prohibited: resale, redistribution of the files, public availability, integration into a competing offer. Use on behalf of third-party clients (agencies) requires a separate licence indicated on the product page. Intellectual property rights remain with Upapu or its authors.
12. Liability
Products are aids; results depend on third-party software, its version and the customer's use. Upapu does not guarantee a commercial outcome. Towards professionals, Upapu's liability is limited to the price paid for the product concerned. Nothing in these Terms limits consumers' statutory rights.
13. Personal data
Data processing is described in the privacy policy, accessible from every page of the Site.
14. Referral programme
Upapu runs a free referral programme, paid solely on sales actually collected. It is governed by specific terms, published on the Site and accepted when joining the programme. Nothing is owed for merely signing up, and no level can be bought.
15. Mediation and disputes
Under article L612-1 of the French Consumer Code, a consumer may use a consumer mediator free of charge after a written complaint has not been satisfactorily answered. Mediator: to be appointed before purchases open. Failing an amicable settlement, French courts have jurisdiction, subject to consumer protection rules.
16. Governing law and language
These Terms are governed by French law. They are written in French; the English version is provided for information and the French text prevails.
17. Changes
Upapu may amend the Terms. The version applicable to an order is the one accepted with that order; successive versions are identified by their number.
